1. Introduction
This Client Agreement sets out the terms and conditions governing tuition, educational consultancy and related services arranged and managed by Trinity Education (“Trinity Education”, “we”, “our” or “us”).
It sets out the respective rights, responsibilities and obligations of Trinity Education and the Client (“Client”, “you” or “your”) in relation to tutor placement, tuition delivery, safeguarding, payment, cancellation, communication and ongoing service management.
By instructing Trinity Education, booking or receiving tuition, making payment, electronically accepting this Agreement or otherwise continuing to use our services, you confirm that you have read, understood and agree to be bound by these terms.
2. Nature of Service
Trinity Education provides a managed tuition and educational support service.
Our services may include:
- Tutor recruitment, selection and vetting
- Safeguarding and compliance oversight
- Tutor matching and placement
- Lesson coordination and scheduling
- Ongoing tutor monitoring and performance review
- Academic coordination and educational support
- Client liaison
- Billing, administration and service management
Tutors introduced through Trinity Education normally operate as independent self-employed professionals. Trinity Education nevertheless manages the tuition arrangement, maintains safeguarding oversight, monitors service delivery and provides ongoing administrative and educational support.
Trinity Education is not a passive introduction platform. We remain actively involved in the management and oversight of the service.
3. Tutor Vetting, Safeguarding and Monitoring
All tutors are required to complete Trinity Education’s recruitment, safeguarding and compliance procedures before being introduced to a Client.
These procedures may include:
- Identity verification
- Enhanced DBS certification or equivalent safeguarding checks where applicable
- Professional references
- Qualification and experience verification
- Safeguarding review
- Interview and suitability assessment
Trinity Education also maintains ongoing oversight of tutors and tuition arrangements. This may include:
- Tutor performance reviews
- Lesson tracking and administrative oversight
- Lesson reporting where appropriate
- Client feedback
- Safeguarding supervision
- Review of tutor suitability and service standards
Trinity Education reserves the right to review, intervene in, suspend or alter any tuition arrangement where reasonably necessary to maintain professional standards, protect student welfare or address safeguarding concerns.
4. Fees and Payment Structure
The first lesson is always payable in advance before tuition commences.
Following the initial lesson, the Client may ordinarily choose between the following payment arrangements:
- 8-Hour Tuition Block
Payment may be made in advance for a block of four or eight tuition hours. - Fortnightly Billing
Alternatively, tuition may be invoiced in arrears approximately every two weeks, based on lessons delivered during the relevant billing period.
Fortnightly invoices are normally issued around the 15th and the final day of each month. Where a usual billing date falls on a Friday, weekend, public holiday or other non-working day, the invoice may be issued on the preceding or nearest appropriate working day.
Where tuition is purchased as a prepaid block, payment will be credited to the Client account and applied against lessons as they are delivered.
Any unused prepaid tuition will remain as credit on the Client account unless otherwise agreed. Where appropriate, unused credit may be applied to future tuition or refunded, subject to any outstanding fees or liabilities.
Tuition fees reflect not only tutor teaching time but also Trinity Education’s recruitment, safeguarding, academic coordination, tutor management, administration and ongoing service oversight.
Any variation to the agreed tuition rate or billing arrangement must be confirmed by Trinity Education in writing.
5. Invoices and Payment Terms
Invoices are payable within 7 days of issue unless otherwise agreed in writing.
The Client is responsible for ensuring that all invoices are settled in full and within the stated payment period.
Where payment is overdue, Trinity Education reserves the right to:
- Suspend tuition or other services
- Withhold further bookings
- Release reserved tutor availability
- Require payment in advance for future services
- Terminate the tuition arrangement
Trinity Education reserves the right to charge interest on overdue amounts at a rate of 8% per annum above the prevailing Bank of England base rate, where legally permitted.
The Client agrees to reimburse Trinity Education for reasonable costs incurred in recovering unpaid sums, including administrative, debt recovery and legal costs where applicable.
6. Reserved Teaching Time and Cancellation
Tutor time is reserved specifically for the Client.
A minimum of 48 hours’ notice is required to cancel or reschedule a lesson without charge.
Lessons cancelled or rescheduled with less than 48 hours’ notice may be charged in full.
This reflects the fact that tutor time has been reserved specifically for the Client and cannot ordinarily be reallocated at short notice.
Where reasonably possible, Trinity Education and the tutor may attempt to reschedule a lesson. Rescheduling cannot, however, be guaranteed.
Repeated cancellations, late changes or failure to attend scheduled lessons may result in the loss of reserved tutor availability.
Where a tutor cancels a lesson, the Client will not be charged for that lesson. Trinity Education will use reasonable endeavours to arrange an alternative time or, where appropriate, a suitable replacement tutor.
7. Tutor Availability
Tutor availability is subject to change and cannot be guaranteed indefinitely.
Trinity Education will use reasonable endeavours to maintain continuity of tuition. However, tutors may become unavailable due to illness, professional commitments, relocation, personal circumstances or other reasons outside Trinity Education’s reasonable control.
Where a tutor becomes unavailable, Trinity Education may recommend an alternative tutor considered suitable for the Client’s requirements.
Trinity Education does not guarantee that a particular tutor will remain available for any specific period.
8. Service Suspension and Termination
Either the Client or Trinity Education may terminate an ongoing tuition arrangement by providing reasonable written notice.
Trinity Education reserves the right to suspend or terminate services immediately where:
- Payment obligations are not met
- Safeguarding concerns arise
- The Client or student behaves in an inappropriate, abusive or unreasonable manner
- A safe and appropriate learning environment cannot be maintained
- The Client repeatedly breaches agreed scheduling or cancellation arrangements
- A tutor becomes unavailable and no suitable alternative can reasonably be arranged
- The Client breaches this Agreement
- Continued service delivery is no longer reasonably practicable
Termination or suspension of services does not affect the Client’s obligation to pay any fees properly due for services already provided or reserved in accordance with this Agreement.
9. Non-Circumvention and Tutor Engagement
Tutors are introduced to Clients through Trinity Education’s recruitment, vetting, safeguarding, placement and management process.
The Client agrees not to engage, employ, contract with, pay or otherwise arrange tuition or educational services directly or indirectly with any tutor introduced by Trinity Education outside the Trinity Education service.
This restriction applies during the period in which the tutor provides services through Trinity Education and for 12 months following the tutor’s final lesson or engagement with the Client through Trinity Education.
The Client must not arrange for another person, company or intermediary to engage a tutor in order to avoid this provision.
Where a Client circumvents or attempts to circumvent Trinity Education, Trinity Education reserves the right to charge a reasonable introduction or placement fee reflecting the recruitment, vetting, safeguarding, placement and commercial value of the tutor introduction.

For online tuition, the Client is responsible for providing an appropriate device, internet connection and learning environment.

14. Confidentiality
Trinity Education will treat information relating to the Client and student as confidential, subject to legal, regulatory, safeguarding and administrative requirements.
The Client acknowledges that relevant information may be shared with tutors and appropriate Trinity Education personnel where reasonably necessary for service delivery, educational support or safeguarding purposes.

Trinity Education is not responsible for acts, omissions or circumstances outside its reasonable control, including examination-board decisions, school or university admissions decisions, changes to assessment requirements or tutor unavailability arising unexpectedly.
To the fullest extent permitted by law, Trinity Education’s aggregate liability arising from a particular tuition arrangement shall not exceed the total fees paid by the Client to Trinity Education in respect of the services giving rise to the claim.
Nothing in this Agreement limits liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation or any other liability that cannot legally be limited.
17. Events Outside Our Reasonable Control
Trinity Education will not be responsible for delay or failure to provide services caused by circumstances outside its reasonable control.
Such circumstances may include illness, transport disruption, telecommunications failure, internet outages, severe weather, public emergencies, industrial action, government restrictions or other events that could not reasonably have been anticipated or avoided.

18. Changes to Tuition Arrangements
Tuition requirements may change over time. The Client agrees to notify Trinity Education where there is a material change to the student’s academic requirements, target examinations, school applications or educational circumstances.
Trinity Education may recommend changes to the tutor, lesson frequency, subject focus or service structure where reasonably considered beneficial or necessary.
Any material change to the agreed tuition rate will be communicated to the Client in advance.
19. Complaints and Concerns
Any concern regarding a tutor or the tuition service should be raised with Trinity Education promptly.
Trinity Education will review concerns reasonably and, where appropriate, may speak with the Client, student and tutor before determining an appropriate course of action.
Where necessary, Trinity Education may recommend a change of tutor or other adjustment to the tuition arrangement.
